0. What you are agreeing to
If you create an account on anyshop.io, list products, fulfill orders, or use any part of our platform, you are agreeing to these Terms together with the Acceptable Use Policy (AUP) and the Privacy Policy. Read them. They are short on purpose. Where these Terms reference the AUP, both documents apply and the more specific document controls.
We try to write these in plain English. If anything is unclear, email legal@anyshop.io and we'll explain it.
1. Who we are
anyshop.io is operated by [Legal Entity Name TBD] (the "Company", "we", "us"), a [jurisdiction TBD] company. Our registered office and contact details are listed at the bottom of these Terms.
We provide a software-as-a-service platform that lets sellers operate digital storefronts. We are not a marketplace, a merchant of record, a payment processor, or a custodian of seller funds. Buyers transact with sellers directly; we provide the software the seller uses to make that transaction possible.
This distinction matters and is repeated throughout this document because it determines who is liable for what.
2. Eligibility
You may use anyshop.io if:
- You are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher)
- You can form a legally binding contract under your local law
- You are not on any sanctions list maintained by the United States, the European Union, the United Kingdom, or the United Nations
- You are not creating an account to evade a prior suspension or termination of an anyshop.io account
- You have read and accepted these Terms, the AUP, and the Privacy Policy
If you are using anyshop.io on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Accounts
You create an account through Clerk (our authentication provider). You are responsible for:
- The accuracy of the information you provide
- The security of your credentials, including any team members you invite
- Everything that happens under your account, even if you didn't personally do it
- Maintaining at least one valid email address we can reach you at
You may not share, sell, transfer, rent, or lease your account. Accounts and stores are not transferable assets.
We may verify your identity at any time, especially if your account triggers fraud signals, exceeds chargeback thresholds, or operates in higher-risk product categories. Failure to verify in a reasonable time is grounds for suspension.
4. Subscription, fees, and billing
4.1 Our fee
anyshop.io is provided on a flat monthly subscription basis. The price, billing terms, and trial conditions are published at anyshop.io/pricing and are the current price you pay unless we've agreed otherwise in writing.
4.2 What's included and what isn't
The subscription includes everything documented at anyshop.io/features. We do not charge:
- A percentage of your sales
- Transaction fees on your orders
- Per-customer or per-API-call fees within our published fair-use limits
We do not pay for:
- Payment processor fees charged by Stripe, PayPal, your crypto provider, or anyone else you connect — those are paid by you to them directly
- Taxes you owe in your jurisdiction
- Costs you incur outside our platform
4.3 Trial, billing cycle, and cancellation
- New accounts get a free trial as published at
anyshop.io/pricing. No card is required to start the trial. - Monthly subscriptions renew automatically until you cancel.
- Annual subscriptions are billed up front and renew annually.
- You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for partial months on monthly plans.
- For annual plans, if you cancel within the first 30 days, we refund the unused portion. After 30 days, the annual plan runs to the end of the term you paid for; we do not refund unused months.
- If you owe us fees and don't pay, we will email you, then suspend the storefront, then terminate after 30 days unpaid.
4.4 Price changes
We may change subscription pricing. We will give you at least 60 days' advance notice by email and in the dashboard before any price change takes effect on your account. If the new price doesn't work for you, you can cancel before it takes effect.
4.5 Fair use
Subscription pricing assumes ordinary usage. If your account consistently consumes infrastructure resources that materially exceed our cost model (very high order volume, very large delivered files, very high API request volume), we will contact you to discuss a fair-use arrangement. We will not bill you retroactively without warning.
5. The seller-buyer transaction (we are not a party)
This is the most important section of these Terms.
When a buyer completes a purchase on your storefront:
- The legal contract is between you (the seller) and the buyer. We are not a party.
- The payment is processed by your connected payment provider (Stripe, PayPal, BTCPay, etc.). The funds go directly to your account with that provider. We never receive, hold, custody, escrow, or have any other access to those funds.
- The product is delivered through our platform infrastructure, but the goods or services are yours, not ours.
- The refund policy is yours, not ours. We display it on your storefront because we require you to publish one (see AUP §5), but we do not enforce it. If a buyer wants a refund, that's between you and the buyer (and possibly your payment provider).
- Chargebacks and payment disputes are handled by your payment provider under their rules. We surface chargeback notifications in your dashboard as a convenience; we are not a party to the chargeback decision.
- Tax collection and remittance are your responsibility. We provide Stripe Tax integration as a tool; we do not assume the obligation.
- Any consumer-protection law claim a buyer makes is against you, not us. We are software infrastructure, not the seller of record.
You agree to indemnify us against any claim, lawsuit, regulatory action, or PSP chargeback dispute that arises from the products you sell, the way you sell them, or the way you treat your customers. Section 13 spells this out.
6. Your data
6.1 You own it
Everything you upload, create, or generate through your store is yours. That includes your products, your license-key inventory, your customer list, your order history, your branding, your storefront content, and your audit log.
6.2 Export
You can export all of your data — orders, customers, license keys, audit log, analytics — at any time, in JSON and CSV, in one click from your settings. We will not charge you for this and we will not restrict the export. This is a deliberate commitment, not a marketing line.
6.3 What we do with it
We use your data to operate the service, debug problems, prevent fraud, and improve the platform. We do not sell your data, rent it, share it with advertisers, train AI models on customer data without explicit permission, or use it for any purpose unrelated to operating anyshop.io.

6.4 Retention after termination
If your account is terminated (for any reason — your decision or ours), you retain 90 days of full export access before we delete your data. After 90 days, we delete operational data subject to our legal retention obligations. See AUP §6 for the suspension/termination flow and Privacy Policy for retention specifics.
6.5 Customer data is also the customer's data
The buyers who purchase from your store have their own rights under privacy law. You may use their email and order details to fulfill orders and provide post-sale support. You may not use their data for unrelated marketing, sell it, or transfer it. See AUP §4.4.
7. Our intellectual property
The anyshop.io platform — software, design, themes we publish, brand, name, and content we create — is ours. Using the platform doesn't give you any rights to our intellectual property beyond what these Terms expressly grant.
You may use:
- Our themes you've activated on your store, within the limits we publish for each theme
- Our embeds and SDKs to integrate your store with your own website or app
- Our brand and name to identify your store as running on anyshop.io ("Powered by anyshop.io" — fine; "Operated by anyshop.io" — not fine)
You may not:
- Resell, redistribute, or republish our software or themes outside your own storefront
- Reverse-engineer our platform with the intent to clone it
- Strip attribution from anything we license to you under specific attribution terms
8. Acceptable use
The full AUP is at anyshop.io/aup and is part of these Terms by reference. Read it. The shorthand:
- Sell legitimately, on the categories we permit
- Don't sell what's banned
- Treat your customers honestly
- Comply with the law in your jurisdiction
- Don't abuse our infrastructure
Material violations of the AUP can result in warning, suspension, or termination per AUP §6.
9. Service availability and changes
9.1 Uptime
We aim for high availability but do not guarantee uninterrupted service. We will publish status updates at status.anyshop.io and aim to give advance notice for planned maintenance. We do not offer an SLA at V0; we expect to publish a credible SLA once we have operational data.
9.2 Changes to the platform
We will add features, remove features, and change how things work. We will not make changes that materially break your store without at least 30 days' notice. "Materially break" means: data loss, API removal you depend on, removal of a feature documented in anyshop.io/features. Cosmetic changes, bug fixes, and security patches do not require notice.
9.3 Deprecation
If we deprecate a feature, we will announce it with a deprecation date at least 90 days in advance and document migration paths where possible.
9.4 We may discontinue the platform
We don't plan to. But if we ever have to wind down anyshop.io entirely, we commit to:
- At least 6 months' notice to all customers
- A full data-export window of at least 90 days after shutdown
- Open-sourcing the storefront rendering layer where feasible so customers can self-host
10. Suspension and termination
10.1 By you
You may cancel at any time. See §4.3.
10.2 By us
We may suspend or terminate your account if:
- You materially breach these Terms or the AUP
- Your account exceeds the chargeback threshold defined in AUP §4.2
- You fail to pay fees owed for 30+ days
- You provide false information during verification
- Required by law, court order, or sanctions enforcement
- A payment processor terminates our relationship in a way that affects your category
We will follow the three-stage enforcement model in AUP §6 (Warning → Suspension → Termination) except in cases that require immediate action (illegal content, malware, severe fraud, law enforcement orders).
10.3 After termination
- You lose access to the storefront and dashboard
- Existing paid orders continue to fulfill automatically so your buyers receive what they paid for
- You retain 90 days of data export access
- Your subscription is refunded pro-rata for any unused period (monthly plans) or for the remaining portion (annual plans, less the 30-day initial-cancellation rule)
- These Terms continue to apply to any conduct that occurred before termination
10.4 Appeals
Every enforcement action can be appealed per AUP §7. Appeals are reviewed by a human, decided in writing within 14 days, and tracked in our internal transparency log.
11. Disclaimers
We provide the platform "as is" and "as available" without warranties of any kind, express or implied, except those that cannot be excluded under applicable law.
We do not warrant that:
- The platform will be uninterrupted, error-free, or secure against every threat
- Bugs will be fixed within any specific timeframe
- Any seller on our platform is trustworthy, legitimate, or solvent — we do not endorse sellers
- Any product sold on our platform is fit for any particular purpose
- Connected payment providers, email providers, or other third parties will perform reliably
We are not insurance. We do not guarantee that buyers will receive what they paid for, that sellers will honor their refund policies, or that disputes will be resolved in any particular way. The seller is responsible for delivery and service.
12. Limitation of liability
To the maximum extent allowed by applicable law:
- We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data (beyond our retention obligations), or business interruption.
- Our total liability to you for any claim arising out of or relating to these Terms or the platform is capped at the lesser of (a) the fees you paid us in the 12 months preceding the claim, or (b) one thousand US dollars (US $1,000).
- We are not liable for the products, services, conduct, or business of sellers operating on our platform, including disputes between sellers and buyers, regulatory action against sellers, or refunds owed by sellers.
Some jurisdictions don't allow limitations like these. If you're in one of those jurisdictions, the limits don't apply to the extent prohibited.
13. Indemnification
You agree to indemnify, defend, and hold harmless anyshop.io, its officers, directors, employees, and contractors from any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of:
- Your use of the platform
- Your breach of these Terms or the AUP
- Your products or services
- Your interactions with buyers, including refund disputes, consumer-protection complaints, intellectual-property complaints, and chargebacks
- Any tax obligation you fail to meet
- Any data you provide that is inaccurate, infringing, or unlawful
We may take over the defense of any claim covered by this indemnity at our discretion; you will cooperate.
14. Modifications to these Terms
We may modify these Terms. When we do:
- We publish the new version with an updated "Last updated" date
- We email you at least 30 days before material changes take effect
- We maintain a public changelog at
anyshop.io/terms/changelog - We do not apply revised Terms retroactively to terminate accounts for conduct that was permitted under the prior version
If you keep using the platform after a revised version takes effect, you accept the revision. If you don't accept it, you can cancel.
15. Governing law and dispute resolution
These Terms are governed by the laws of [jurisdiction TBD], without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the courts in [venue TBD] for any dispute that cannot be resolved otherwise.
Before filing any lawsuit, you agree to:

This pre-litigation step does not apply to emergencies (injunctions, IP infringement, etc.).
16. Miscellaneous
- Entire agreement. These Terms, together with the AUP and Privacy Policy, are the entire agreement between you and us about the platform, and they supersede prior discussions.
- Severability. If a court finds any part of these Terms unenforceable, the rest stays in effect.
- No waiver. If we don't enforce a right, that's not a waiver — we can still enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an acquirer, successor, or affiliate.
- No agency. Nothing here creates a partnership, joint venture, or employment relationship between us.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (natural disasters, war, sanctions, internet-scale outages, etc.).
- Headings are for convenience. They don't affect interpretation.
